New York, NY - July 26, 2010 – Mobile video sharing company, Thwapr, Inc. (OTCBB:THWI) (“Thwapr” or the “Company”) today announced a modification of its capital structure whereby the amount of outstanding common stock has been reduced by 90% through the completion of an exchange offer agreement. The agreement is with Thwapr’s five largest stockholders including the founders of the Company. Under the agreement, Thwapr will issue 47,061,636 shares of Convertible Preferred Stock for 141,184,908 shares of common stock which will be retired. The Preferred Stock is convertible to Common Stock at a ratio of three to one and has the same rights and privileges as the Common Stock. The Preferred Stock conversion feature is performance based and requires that Thwapr have ten million users of its mobile video sharing service prior to conversion. Additionally, the Preferred Stock cannot be converted to Common Stock prior to July 20, 2012 unless there is a change in control of Thwapr.
